When To Use

For use with a single or a series of comprehensive web development projects between Developer and Sponsor.

Provides for Intellectual Property (IP) ownership and licensing options for the Completed Website and for project management.

A must for software developers who manage complex projects and require options for acquisition of IP ownership or marketing rights in order to supplement development fee income or to build a portfolio of IP ownership.

For less comprehensive projects primarily involving consulting services, see the Consulting Services Agreement (General Purpose).

This agreement does not provide for web site hosting. If hosting services are required, see the Website Hosting Agreement (Executed).

Master Agreement Simplifies Contract Management

Master agreement provides the general terms and conditions for a possible series of projects, each defined by separate Work Order -- simplifies contract management and eliminates the need to enter into separate agreements for each project.

The typical software development agreement usually does not address issues that are unique to website development.
• Provides options for ownership of Deliverables and Completed Website either by Developer or by Sponsor, and an option for Developer to provide maintenance, support, and consulting services for the Completed Web Site (Website hosting must be provided for in a separate agreement)
• Options for allocation of ownership for various website elements, including: Sponsor Content, Work Product, and Developer Tools
• Option to permit Developer to have "co-branding" credits for Completed Site
• Confidentiality restrictions may be unilateral or reciprocal
• Billing by fixed price, or by time and materials with estimate
• Option for private site for viewing progress during development
• Provides for notices and Work Orders via email
• Options for technical support of the Completed Software
• Option for dispute resolution by arbitration
