When To Use

For use with licensing digital content that is either downloaded from a web site or delivered on tangible media. Intended for use on a specific transaction by transaction basis, and not for establishing an ongoing account with the user on an ecommerce website (if an account is required see the Website SaaS-Account-Membership Agreement (Click-Wrapped)).

Content may require a software client to play and/or display the content, and this agreement covers both content only transactions as well as content plus software client transactions.

The Licensee incorporates the Licensed Content into the Licensee's site for distribution via digital downloads.

This is not an ASP agreement that authorizes end users to access a website for services that are enabled by software at the web server. For an ASP agreement see our Website ASP License Agreement (Executed).
