When To Use

For use as an Application Software Provider (ASP) subscription license where (i) the agreement is executed (signed) between the Licensor and end-user/Licensee, and (ii) end-user/Licensee accesses Licensed Software on Licensor's application server either over the Internet or through a "private network".

Subscription license fees are payable periodically, with options for pre-payment or guaranteed minimum periods

Master Agreement Simplifies Contract Management

Master agreement provides the general terms and conditions for a possible series of grants of additional licenses, each defined by separate Purchase Order -- simplifies contract management and eliminates the need to enter into separate agreements for each license grant.
