When To Use

For use with client-server or volume software licensing transactions into corporate environments where the agreement is executed (signed).

May be a traditional perpetual term license or a limited term, subscription license ("software rental").

The term "volume" is used because many of the transactions utilizing this agreement license multiple copies, or grant licenses for multiple users in a corporate environment.

Services are often an important part of the transaction; technical support terms are attached and there is an optional exhibit for implementation and customization services.

The agreement provides that additional licenses may be purchased through the use of purchase orders, thereby eliminating the need to negotiate additional contracts for future purchases.

Master Agreement Simplifies Contract Management

Master agreement provides the general terms and conditions for a possible series of licensing additional software into a corporate environment, each defined by separate Purchase Order -- simplifies contract management and eliminates the need to enter into separate agreements for each new grant of additional licenses.
