When To Use

For use by prospective employer and employee (or contractor) under circumstances where the prospective employer will disclose confidential information in contemplation of a future employment relationship during the course of interviews and other pre-employment discussions.

A key human resources agreement since it preserves confidentiality prior to entering into a definitive employment agreement.

Example: confidential information regarding marketing plans and/or proprietary technology is frequently disclosed to a prospective management or technical employee in the course of pre-employment discussions; consequently, it is important for the employer to create a confidential relationship that would cover the confidential information disclosed prior to the execution of the definitive employment agreement.

If there is any doubt regarding whether confidential information will be disclosed during discussions or even email transmissions prior to an employment relationship, by all means, use this agreement.
