When To Use

For use by 2 parties who will exchange confidential information in contemplation of a future business relationship.

One of the most basic business agreements since it preserves confidentiality prior to entering into a definitive agreement.

Example: if the parties are considering a possible reseller relationship or consulting relationship, and confidential information must be discussed in the evaluation or negotiation stage, the Non-Disclosure Agreement would create a confidential relationship that would cover the confidential information disclosed prior to the execution of the definitive Reseller or Consulting Agreement.

If there is any doubt regarding whether confidential information will be disclosed during discussions or even email transmissions prior to a potential business relationship, by all means, use this agreement.
