When To Use

For use with consulting projects where a Consultant provides consulting services to a Client which involve technical advice, implementation consulting, project management consulting, process management consulting, the preparation of written reports, or system design and/or programming that is not considered to be a major software development project.

Agreement is distinguishable from major software development projects which involve relatively complex ownership and project management issues. For major software development projects, the Software Development Agreement should be used.

Also, distinguish this agreement from our Technical Support Services Agreement that focuses instead on technical services for hardware, networks, third-party software products, or any other kind of technical support or maintenance service.

Master Agreement Simplifies Contract Management

Master agreement provides the general terms and conditions for a possible series of projects, each defined by separate Work Order -- simplifies contract management and eliminates the need to enter into separate agreements for each project.

• Option for retention of rights in Consultant's proprietary code modules that may be furnished with the services
• Option for Client to be responsible for providing all software not provided by Consultant
• Options for hourly, daily, or per project fee structures
• Option for non-competition covenants for non-solicitation of employees and/or customers
• Option for dispute resolution by arbitration
